End User License Agreement (EULA) for Pervaziv AI’s Extensions

This End User License Agreement (“Agreement”) is a legal contract between you (“Licensee”, “you”, or “your”) and Pervaziv AI (“Licensor”, “we”, “us”, or “our”) governing the use of the Pervaziv AI’s Extensions in various Marketplaces such as Visual Studio, VS Code, Jetbrains and others (“Extension”).

By installing, copying, or using this Extension, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Extension.

1. License Grant

Subject to your compliance with this Agreement and any applicable payment obligations, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Extension solely for your internal development purposes.

This license:

Is for individual or commercial developer use only;
Does not allow redistribution, resale, sublicensing, or public hosting;
Does not grant access to source code, which remains proprietary.

2. Ownership and Intellectual Property

This Extension is licensed, not sold. The Extension and all intellectual property rights therein are and shall remain the sole and exclusive property of Pervaziv AI.

You acquire no ownership or other interest in the Extension except the limited usage rights granted under this Agreement.

3. Commercial Use

You may use this Extension in the development of commercial or internal software applications. However, this license does not allow you to:

Integrate or bundle the Extension into commercial products;
Offer the Extension as a service;
Share the Extension with others outside your licensed organization or individual license.

For enterprise licensing, bulk seats, or redistribution rights, contact us directly.

4. Restrictions

You may not:

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Extension;
Modify, adapt, or create derivative works of the Extension;
Distribute, resell, sublicense, or rent the Extension;
Use the Extension in any way that violates applicable laws, or infringes on the rights of any third party;
Circumvent any licensing restrictions or protections.

5. Fees and Payments

If this Extension is offered as a paid product, your license is contingent upon full and timely payment of applicable license fees. Non-payment or chargeback may result in immediate termination of the license.

6. Termination

This Agreement is effective until terminated. We may terminate your license immediately without notice if you breach any terms of this Agreement.

Upon termination:

You must stop all use of the Extension;
You must uninstall and delete all copies of the Extension from your systems.

7. Support and Updates

We may provide updates or support for the Extension at our sole discretion. Use of updates is governed by this same Agreement unless accompanied by a separate license.

8. Disclaimer of Warranty

THE EXTENSION IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE EXTENSION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE LICENSE FEES PAID FOR THE EXTENSION.

10. Third-Party Software

The Extension may rely on third-party libraries or APIs, which are subject to their own licenses. You agree to comply with all applicable third-party terms.

11. Marketplace Terms

Use of this Extension through the Visual Studio, VSCode or Jetbrains or other Marketplaces is also subject to the respective terms such as Visual Studio Marketplace Terms of Use or Jetbrains Terms. In case of conflict, this Agreement prevails with respect to the Extension.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of USA/CA and USA/DE, without regard to conflict of laws principles.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and us regarding the Extension and supersedes all prior or contemporaneous agreements, communications, or understandings.
